Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of ContentAI (the "Service"), available at contentai.ca (the "Site"), operated by S.N.R.C. Solutions numériques, a sole proprietorship established in Québec, Canada ("ContentAI," "we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of the Service

ContentAI is a multilingual social media content generation platform. The Service allows users to generate, schedule, and publish social media content across multiple languages and dialects, and to connect third-party social media accounts (including but not limited to Twitter/X, Facebook, Instagram, LinkedIn, TikTok, YouTube, and Pinterest) for automated or assisted posting.

We reserve the right to modify, add, or remove features of the Service at any time, with or without notice.

3. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for:

• Providing accurate registration information;
• Maintaining the confidentiality of your account credentials;
• All activity that occurs under your account.

You must notify us promptly at support@contentai.ca if you become aware of any unauthorized use of your account.

4. Subscriptions, Billing, and Cancellation

4.1 Payment Processing

Payments are processed by Stripe, Inc. ("Stripe") on our behalf. ContentAI (S.N.R.C. Solutions numériques) is the merchant of record for your purchase; Stripe acts only as our payment processor and does not itself sell you the Service. Your payment is also subject to Stripe's own Services Agreement, in addition to these Terms. ContentAI does not directly collect or store your payment card details.

4.2 Subscription Plans

ContentAI offers subscription plans billed on a recurring basis (monthly or annual, depending on the plan selected). Your subscription will automatically renew at the end of each billing period unless cancelled beforehand.

4.3 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@contentai.ca. Cancellation stops future billing but does not end your current billing period early. You will retain full access to the Service until the end of the billing period you have already paid for. See our Refund Policy for details.

4.4 Price Changes

We may change subscription pricing from time to time. Any price change will apply to future billing periods only and will not retroactively affect a period you have already paid for. Where required by law, we will provide advance notice of price changes.

5. Connected Third-Party Accounts

To use certain features, you may connect third-party social media accounts to ContentAI via authorized integrations (including Zernio and Buffer). By connecting an account, you authorize ContentAI to publish content on your behalf according to your instructions. You remain solely responsible for the content published to your connected accounts and for complying with each platform's own terms of service.

6. Acceptable Use

You agree not to use the Service to:

• Generate or publish unlawful, defamatory, harassing, hateful, or fraudulent content;
• Violate the intellectual property or other rights of any third party;
• Distribute spam, malware, or engage in any activity that disrupts the Service;
• Attempt to reverse-engineer, scrape, or gain unauthorized access to the Service or its underlying systems;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate accounts that violate this section, with or without notice.

7. Intellectual Property

The Service, including its software, design, and underlying technology, is owned by ContentAI and protected by applicable intellectual property laws. You retain ownership of the content you generate using the Service, subject to the rights you grant us to process and, where applicable, publish that content on your behalf.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, except as required by applicable law. We do not guarantee that AI-generated content will be error-free, culturally accurate in every context, or suitable for every intended use. You are responsible for reviewing content before publication.

9. Limitation of Liability

To the maximum extent permitted by applicable law, ContentAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Nothing in these Terms limits any liability that cannot be limited under applicable Québec or Canadian consumer protection law.

10. Termination

We may suspend or terminate your access to the Service for violation of these Terms, non-payment, or as required by law. Upon termination, your right to use the Service ceases immediately; certain provisions of these Terms (including Sections 7, 9, and 12) survive termination.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict of law principles. Nothing in this section limits any mandatory consumer protection rights you may have under the Consumer Protection Act (Québec) or other applicable law.
